Series A Founding Round — Application Only, Accredited Investors
The legal profession is adapting to AI right now. Own part of the platform guiding the way, while Units remain.
Four Founding Units in each of 51 jurisdictions: 204 in total.
AI is reshaping how legal work gets done, and attorneys who delay adapting risk losing competitive relevance. ALCBar is building the national platform that helps attorneys adapt through continuing legal education, legal updates and personalized intelligence. Founding Investors own Series A Founding Preferred Stock in that platform, at one price per share for every investor, together with a seven-year participation in the revenue ALCBar earns in the jurisdictions they choose.
Application only. Open to accredited investors with active bar admission in good standing in the jurisdiction they apply for. Every application is reviewed and requires approval. The 204 counts investment Units, four in each of 51 jurisdictions, not people or seats. Applying takes about 5 minutes and creates no investment commitment.
Founding Participation is selective by design.
It is by application only. Eligibility is confirmed against public bar rolls, every application is reviewed, and approval is required. There are 204 Founding Units in total, four in each of the 51 jurisdictions. When a jurisdiction’s Units are fully spoken for, applicants can join a waitlist. Limits per investor also apply.
The Platform
CLE Is the Entry Point. Staying Current Is the Business.
Attorneys in most U.S. jurisdictions must complete continuing legal education. Very few products help with the harder problem: knowing what changed this month in their jurisdiction, their courts, and their practice.
ALCBar CLE
Continuing legal education, jurisdiction by jurisdiction.
ALCBar Current
Short, verified monthly jurisdiction updates and weekly federal updates.
ALCBar Intelligence
Personalized updates by jurisdiction, court, practice area and deadline.

Questions
Investor FAQ
What exactly am I buying?
For each Unit: Series A Founding Preferred Stock in ALCBar Inc, plus one Founding Revenue Participation Right referencing one jurisdiction.
Why does every jurisdiction have four Units?
Every jurisdiction has the same four Founding Units. Each Unit references one jurisdiction, and its share of that jurisdiction’s pool is 8% divided by four.
Is the participation guaranteed?
No. It is a share of revenue actually collected in that jurisdiction, subject to caps. The principal value of the investment is ownership of the national company.
Does my bar license make me an accredited investor?
No. Accredited status is a separate federal test based on income, net worth, or specific securities licenses.
Do I have to teach, promote, or recruit anyone?
No. Units are a passive investment. Distributions do not depend on anything you do, and ALCBar pays no compensation for introducing investors.
Can I buy Units in more than one jurisdiction?
Yes, in any jurisdiction where you hold active admission in good standing, subject to the concentration limits.
Does applying commit me to invest?
No. Applying creates no investment commitment. You are committed only after your application is approved and you sign the subscription documents.
Important notice. This page describes a proposed private offering of securities by ALCBar Inc, a Delaware corporation formed when the first application is filed. Participation payments depend solely on revenue actually collected, are subject to caps, and are not guaranteed. No state or federal regulator has reviewed or approved this offering. Units carry no territory, exclusivity, license, operating role, or authority to bind ALCBar. ALCBar pays no one any compensation for introducing investors. ALCBar Inc is a private, for-profit continuing legal education company; it is not a bar association, is not affiliated with any state bar, court, or government agency, and does not license or regulate attorneys.
